Inhouse Legal Counsel (m\/f\/d) – Startup<\/strong><\/p>

We support B2B clients and partners across Germany, the Netherlands, and international markets.<\/p>

Key Responsibilities<\/strong>
Commercial & Client Contracts<\/strong><\/p>

  • Draft, review, negotiate, and manage B2B contracts: MSAs, SoWs, NDAs, DPAs, partner agreements, subcontractor agreements<\/li>
  • Support sales and delivery on key clauses (liability, indemnities, IP, SLAs, change requests, dispute resolution)<\/li>
  • Build and maintain contract templates, clause libraries, and playbooks to accelerate deal cycles<\/li><\/ul>


    Corporate & Governance (UG \/ B.V.)<\/strong><\/p>

    • Support corporate housekeeping (resolutions, director\/shareholder matters) and coordinate filings with external counsel\/notary<\/li>
    • Maintain contract governance, signature workflows, approvals, and document retention<\/li><\/ul>


      Privacy & Compliance (pragmatic)<\/strong><\/p>

      • Support GDPR-related topics (DPAs, vendor reviews, privacy documentation) and align legal needs with security\/compliance requirements<\/li>
      • Coordinate with specialists where deeper regulatory input is required<\/li><\/ul>


        Risk Management & Operations<\/strong><\/p>

        • Identify legal risks early and propose practical mitigation steps<\/li>
        • Support disputes\/claims coordination, collections support, and insurance-related topics (where relevant)<\/li>
        • Provide internal guidance on contracting standards and documentation quality<\/li><\/ul>


          External Counsel & Stakeholders<\/strong><\/p>

          • Manage external legal providers efficiently and cost-aware<\/li>
          • Work closely with leadership, sales, delivery, finance, and partners across<\/li>
          • Germany and the Netherlands<\/li><\/ul>


            Minimum Requirements (Must-Have)<\/strong><\/p>

            • 5+ years experience as inhouse counsel or law firm associate with strong commercial\/contracts focus<\/li>
            • Strong experience with B2B services contracts (consulting\/IT services preferred)<\/li>
            • Jurisdiction requirement: solid working knowledge of German law or Dutch law (ideally both), especially in commercial and corporate topics<\/li>
            • Strong drafting and negotiation skills; pragmatic, business-oriented approach<\/li>
            • Ability to work independently and prioritize in a startup environment<\/li>
            • Professional English required; German and\/or Dutch is a strong plus<\/li>
            • Excellent MS Office skills, especially Word (contract drafting) and Excel (contract registers, tracking, risk logs)<\/li><\/ul>


              Nice to Have<\/strong><\/p>

              • Working knowledge across both Germany and the Netherlands (commercial\/corporate), including cross-border setups<\/li>
              • Experience with IT\/security-related contracting (IP, data, SLAs, security addenda)<\/li>
              • Strong GDPR\/vendor governance experience<\/li>
              • Familiarity with IP\/trademark basics and contractor\/employment support<\/li><\/ul>
