We support B2B clients and partners across Germany, the Netherlands, and international markets.

Key Responsibilities
Commercial & Client Contracts

  • Draft, review, negotiate, and manage B2B contracts: MSAs, SoWs, NDAs, DPAs, partner agreements, subcontractor agreements
  • Support sales and delivery on key clauses (liability, indemnities, IP, SLAs, change requests, dispute resolution)
  • Build and maintain contract templates, clause libraries, and playbooks to accelerate deal cycles


Corporate & Governance (UG / B.V.)

  • Support corporate housekeeping (resolutions, director/shareholder matters) and coordinate filings with external counsel/notary
  • Maintain contract governance, signature workflows, approvals, and document retention


Privacy & Compliance (pragmatic)

  • Support GDPR-related topics (DPAs, vendor reviews, privacy documentation) and align legal needs with security/compliance requirements
  • Coordinate with specialists where deeper regulatory input is required


Risk Management & Operations

  • Identify legal risks early and propose practical mitigation steps
  • Support disputes/claims coordination, collections support, and insurance-related topics (where relevant)
  • Provide internal guidance on contracting standards and documentation quality


External Counsel & Stakeholders

  • Manage external legal providers efficiently and cost-aware
  • Work closely with leadership, sales, delivery, finance, and partners across
  • Germany and the Netherlands


Minimum Requirements (Must-Have)

  • 5+ years experience as inhouse counsel or law firm associate with strong commercial/contracts focus
  • Strong experience with B2B services contracts (consulting/IT services preferred)
  • Jurisdiction requirement: solid working knowledge of German law or Dutch law (ideally both), especially in commercial and corporate topics
  • Strong drafting and negotiation skills; pragmatic, business-oriented approach
  • Ability to work independently and prioritize in a startup environment
  • Professional English required; German and/or Dutch is a strong plus
  • Excellent MS Office skills, especially Word (contract drafting) and Excel (contract registers, tracking, risk logs)


Nice to Have

  • Working knowledge across both Germany and the Netherlands (commercial/corporate), including cross-border setups
  • Experience with IT/security-related contracting (IP, data, SLAs, security addenda)
  • Strong GDPR/vendor governance experience
  • Familiarity with IP/trademark basics and contractor/employment support
